1. Acceptance of terms
By accessing or using SellerCalcs ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please stop using the Service.
2. Description of service
SellerCalcs provides free, browser-based calculators and AI text-generation tools for e-commerce sellers. The Service is provided "as is" and "as available." We make no warranty regarding uptime, accuracy, or fitness for any particular purpose.
3. Eligible users
You must be at least 16 years of age (or the age of digital consent in your jurisdiction) to use the Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
4. Acceptable use
You agree not to:
- Use the Service in a manner that violates any applicable law or regulation.
- Reverse-engineer, scrape, or systematically extract content for purposes that compete with the Service.
- Use automated tools to make excessive requests that degrade Service performance for other users.
- Attempt to bypass any security mechanism or access non-public areas of the Service.
- Use the Service to generate content that is unlawful, defamatory, infringing, or harmful.
- Remove, alter, or obscure any copyright, trademark, or attribution notices.
5. Intellectual property
The Service, including its calculators, code, design, copy, and branding, is owned by SellerCalcs and its licensors. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal or business purposes consistent with these Terms.
Content generated by you using our AI tools (e.g. product descriptions, titles) is yours to use commercially without restriction. We claim no ownership over your output.
6. Third-party services
The Service may link to or embed third-party services (e.g. Google AdSense, affiliate partners). We are not responsible for the content, accuracy, privacy practices, or availability of third-party services.
7. Calculator accuracy
Our calculators use fee schedules and rates that are current as of their last update, but rates change. We do our best to keep tools current. We cannot guarantee:
- That a fee schedule reflects rates in your specific account or category.
- That a foreign exchange rate matches live mid-market or your bank's rate.
- That a result is fit for tax filing, regulatory reporting, or audit.
Always verify critical numbers with your platform's own reporting (Seller Central, Shopify Admin, TikTok Seller Center), with your accountant, and with your freight forwarder or customs broker before making decisions involving significant money.
8. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SELLERKIT TOOLS, ITS OPERATORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED USD $100, WHICH IS YOUR EXCLUSIVE REMEDY.
10. Indemnification
You agree to indemnify and hold harmless SellerCalcs, its operators, and affiliates from any claim or demand, including reasonable attorneys' fees, arising out of your use of the Service, your violation of these Terms, or your violation of any third-party right.
11. Changes to the service or these terms
We may modify, suspend, or discontinue the Service (in whole or in part) at any time without notice. We may also update these Terms; we will post the revised version with an updated "Last updated" date. Continued use after changes constitutes acceptance.
12. Termination
We may terminate or suspend your access to the Service at our discretion, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to other users, us, or third parties.
13. Governing law
These Terms are governed by the laws of Singapore, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved in the courts of Singapore.
14. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
15. Entire agreement
These Terms, together with the Privacy Policy and Disclaimer, constitute the entire agreement between you and SellerCalcs regarding the Service and supersede any prior agreements.
